This Workshop Agreement is between Diemeco ("we", "us"), which operates Diemeco, and the person or business that creates a Workshop profile ("you", the "Workshop"). It is in addition to our Terms of Service, Privacy Policy, Refund & Credit Policy, Content & Upload Policy and Confidentiality & Intellectual Property Policy. By creating a Workshop profile you accept it, and we keep a dated record of that.
1. What we do, and what we do not
We provide a platform that shows you requirements that match your profile, lets you unlock them with credits, and lets you message and send quotations to the Client. We do not make, inspect, transport or guarantee any work, and we are not a party to any contract between you and a Client. We do not promise that any requirement will suit you, that a Client will reply, or that you will win work.
2. Your profile must be true
- You confirm that the information you give, including your business name, city, machines, the work you take, the materials you work with, minimum order and GSTIN, is accurate, that you are entitled to give it, and that you will keep it up to date.
- You must not claim machines, capacity, certifications or experience you do not have. Matching and Client trust depend on it.
- A "GST verified" badge means our team compared the details you gave with the government GST portal at that time. It is not a guarantee of quality and it can be removed if the details change or were wrong.
- You must have the right to run the business you describe and to deal with the Clients and requirements you unlock.
- Photos you add must show your own workshop, or work your workshop really did. Do not show a part made for a customer if its design is confidential, unless that customer agrees.
- Keep your "free capacity this week" honest. Clients plan around it.
- Your visiting card shows the profile details listed in the Privacy Policy to anyone you share its link with. You can ask us to switch it off.
3. Credits and plans
- Early access: Diemeco does not take any payment during early access. New Workshops receive free credits, and we add more free credits on request.
- You unlock a public requirement by spending one credit. For a confidential requirement, asking for access is free, and one credit is used only if the Client approves.
- Own clients: a Client who joins or connects through your card link becomes your own client, unless you already dealt with that Client through Diemeco matching. Requirements your own client sends only to you cost you no credit, and still count for your rating and completed orders. You must not create or arrange client accounts to send yourself requirements.
- Reorders: when a Client orders again from you, the first two reorders from each Client cost you no credit; later ones use a credit.
- After launch: you will be able to choose a monthly or yearly plan. The price, the credits you receive each month, how long unused credits carry over and the plan's benefits are shown before you pay. Prices exclude GST; GST is added only once we are registered for GST. A plan renews automatically only if you switch auto-renew on; we notify you at least 24 hours before each automatic payment, and you can switch it off at any time.
- Credits have no cash value and cannot be transferred or sold. When a credit is returned to you, and when money is refunded, is set out in the Refund & Credit Policy. Free, welcome and bonus credits are given on the terms shown in the app, and we may withhold or reverse them if we reasonably believe they were obtained by abuse, such as opening several accounts for yourself or a business you control.
- Every requirement that matches you is shown to all matching Workshops at the same time, whatever plan they are on.
4. Client information and files
- Everything a Client shares with you through Diemeco (requirement details, drawings, CAD files, messages and contact details) is confidential. You may use it only to decide whether to quote and, if you are chosen, to make that order.
- You must not copy, keep, share, publish, sell, reverse-engineer, or use it to make parts for anyone else, or to compete with the Client. You must not photograph or capture watermarked views to get round the protection, and you must not try to bypass a view-only setting, a watermark, a rate limit or any other safeguard.
- You may download a file only if the Client has allowed it. If you are not chosen for the order, or the order ends, you must stop using the material and delete the files you downloaded, unless the law requires you to keep them.
- Each time you open or download a Client's file, it is recorded, and the Client can see it.
- If you post a requirement to other Workshops (subcontracting) that comes from your own customer, you must first have that customer's permission to share their drawings and details, and you remain responsible to them.
- These duties continue after the order and after you leave the platform. See the Confidentiality & Intellectual Property Policy.
5. Quotations and orders
- A quotation is your own offer. Price, delivery time, quality, warranty, payment terms, taxes, transport and everything else are agreed only between you and the Client. You are responsible for your own work, your own contracts and your own taxes and invoices to the Client.
- Send only quotations you are willing and able to honour for the validity period you state. Do not send a quotation to win the Client and then change it without a genuine reason such as a change to the requirement.
- We do not collect or hold money for an order. You and the Client settle payment directly.
- If the Client records the agreed terms in an order confirmation, check them and confirm only if they are right. An order confirmation is a record between you and the Client; we are not a party to it.
- If a Client marks a requirement as assigned to you, that is the Client's choice. If you disagree about an order, use the process in the Dispute policy.
6. Conduct
- Be honest and courteous. Do not harass, threaten, spam or mislead anyone. Do not post fake reviews or try to manipulate ratings, including through accounts you control.
- Do not put phone numbers, email addresses, links or social handles in messages. The platform blocks them so that both sides are protected. A Client may choose to share their number in a chat.
- Do not use the platform for anything unlawful, for items or work prohibited by Indian law, or for anything in breach of the Content & Upload Policy.
- Do not use another person's account, share your sign-in code, or try to attack or overload the platform.
- Each person may have one Workshop profile for one real business. Opening several profiles to gain credits or matches is not allowed.
7. Reviews
Clients may review your work. Reviews are the Client's opinion. We may remove a review that breaks our rules, but we do not remove a review only because it is critical. You may report a review you believe is false.
8. Suspension and ending
We may warn, restrict, suspend or close your account, and remove content or badges, if you break this Agreement or our rules, if we reasonably suspect fraud or misuse, or if the law requires it. We will tell you why where we can and you may write to us to respond. You may delete your account at any time from your Profile; it is closed at once and kept for 30 days, so signing in again with the same number, or opening that profile again, restores it. Free starting credits are given once per mobile number. Unused credits are forfeited on deletion, except where the Refund & Credit Policy says they are returned or refunded. Duties about confidentiality and intellectual property continue.
9. Responsibility
- To the fullest extent the law allows, we are not liable for the outcome of any order, for what a Client says or does, for a Client's failure to pay you, or for indirect or consequential loss or lost profit. Our total liability to you for any claim about the platform is limited to the amount you paid us in the 12 months before the claim arose. Nothing here limits liability that cannot be limited by law.
- You will compensate us and hold us harmless against claims, losses and costs (including reasonable legal costs) that arise from your breach of this Agreement, your misuse of a Client's files or information, your false statements, or your infringement of anyone's rights.
10. Your Digital Office
- The Digital Office (section 9 of the Terms of Service) holds your own business records: orders, quotes, money to collect and to pay, customers and suppliers. Diemeco does not check, approve or share them.
- Your customers' and suppliers' details: for these, you decide what is kept and why, and you are responsible for them under India's Digital Personal Data Protection Act, 2023. Diemeco stores and processes them only on your behalf, to run the office for you; keeps them private to you; and never contacts those people or uses their details for anything else. Enter only details you have a fair reason to keep, tell people where the law asks you to, keep them correct, and remove them when you no longer need them.
- Quotes, reminders and statements you send from the office go from your own WhatsApp, and you are responsible for what they say. Figures the office works out (totals, margins, MSME days) are a guide, not tax, legal or financial advice, and not a GST invoice or return.
- Bills: you are responsible for every bill you make in the office: the customer's details, HSN/SAC codes, GST rates, place of supply, your turnover being below the e-invoicing limit you confirm, and your GST returns. Bills, credit and debit notes and receipts cannot be edited or deleted, only cancelled, so check before making one. Keep your own copies: GST law asks you to keep bills for several years, and "Download for accountant" and "Download my data" give you them.
- Payment details you save (bank, UPI) are yours and are shown only where you choose. Keep them correct; Diemeco does not check them and is not part of any payment.
- Keep your own copy of anything important ("Download my data"). When your Workshop profile is deleted, your office goes with it, after the 30 days in which it can be restored.
11. Personal data
When a Client shares personal data with you (for example a name or a number in a chat), you receive it only for that requirement. You must use it lawfully, keep it secure, and delete it when you no longer need it. Our handling of your own data is described in the Privacy Policy.
12. Changes, law and contact
We may update this Agreement. If a change is significant we will tell you in the platform, and using the platform after the change means you accept it. This Agreement is governed by the laws of India, and the courts at Rajkot have exclusive jurisdiction, subject to any right you have that cannot be waived. Write to us first at support@diemeco.com so that we can try to solve any problem informally. To complain, see the Grievance Policy.
